Welcome to Northbound Commerce. These Terms of Service govern your use of our website and the purchase or use of our website design, development, e-commerce, Shopify, consulting, and related digital services.

By using our website, requesting services, accepting a proposal, signing a service agreement, or making payment for services, you agree to these Terms of Service.

1. Services

Northbound Commerce provides services that may include:

  • Shopify store design and development
  • E-commerce website development
  • Website redesigns
  • Website maintenance and updates
  • Landing page development
  • Website optimization
  • Digital consulting
  • Integrations and third-party application setup
  • Other digital and web-related services agreed upon with the client

The exact services, deliverables, pricing, and project scope may be further defined in a proposal, invoice, package description, or separate client agreement.

2. Project Scope

Northbound Commerce will perform the services agreed upon before or during the start of a project.

Requests that substantially exceed the original scope of work may be considered additional work and may require additional fees.

Changes to project requirements, features, functionality, design, integrations, or content may also affect the project's estimated completion timeline.

3. Client Responsibilities

Clients are responsible for providing the information and materials reasonably necessary to complete their project, including content, images, logos, account access, product information, business information, approvals, and feedback.

Delays in receiving these materials or approvals may result in delays to the project.

Clients are responsible for ensuring that materials they provide to Northbound Commerce may legally be used for their website or project.

4. Payments

Payment requirements will be communicated before work begins and may vary depending on the selected service or package.

Projects may require a deposit, partial payment, installment payments, or full payment.

Northbound Commerce may pause work, delay delivery, or withhold final project transfer if an agreed payment becomes overdue.

Additional services or work outside the original project scope may be billed separately.

5. Cancellations & Refunds

Because Northbound Commerce provides customized digital services, payments may become non-refundable once work has begun.

If a project is canceled after work has started, the client may remain responsible for work already performed and any expenses incurred on their behalf.

Refund requests are reviewed based on the project's status, work completed, expenses incurred, and any applicable service agreement.

6. Revisions

The number and extent of revisions included in a project may depend on the service package or agreement selected by the client.

Additional revisions or changes outside the agreed scope may require an additional fee.

7. Project Timelines

Any project completion date provided by Northbound Commerce is an estimate unless expressly agreed otherwise in writing.

Project timelines may be affected by client response times, revision requests, third-party services, technical issues, changes in scope, or other circumstances outside our reasonable control.

8. Third-Party Services

Client projects may use third-party platforms and services such as Shopify, domain registrars, hosting providers, applications, plugins, payment processors, email providers, analytics platforms, advertising services, or other software.

Northbound Commerce does not control these third parties and cannot guarantee their availability, pricing, functionality, policies, or continued operation.

Unless specifically included in a written agreement, clients are responsible for ongoing third-party fees and subscriptions associated with their website.

9. Shopify & Other Platforms

Northbound Commerce may provide design and development services for third-party platforms, including Shopify.

Use of those platforms remains subject to their respective terms, policies, fees, and requirements. Any partnership, affiliate, or platform relationship disclosed by Northbound Commerce does not mean that the third-party platform guarantees or endorses a client's individual website or business.

10. Intellectual Property

Clients retain ownership of content, trademarks, logos, photographs, and other materials they provide to Northbound Commerce, subject to any applicable third-party rights.

Upon receipt of all required payments, the client will generally receive rights to the custom website work specifically created and delivered for their project, except for third-party materials, licensed assets, software, themes, applications, fonts, stock content, reusable development components, or other materials subject to separate licenses.

Northbound Commerce retains ownership of its pre-existing materials, processes, methods, templates, know-how, and other intellectual property not created exclusively for a particular client.

11. Portfolio Rights

Unless otherwise agreed in writing, Northbound Commerce may display completed client projects, screenshots, client business names, and publicly available website materials in its portfolio, social media, advertising, and promotional materials for the purpose of demonstrating its work.

Clients may request that confidential or sensitive information not be displayed.

12. Website Performance

Northbound Commerce works to create professional websites designed around the client's goals. However, we do not guarantee specific business outcomes.

We cannot guarantee specific levels of website traffic, search-engine rankings, advertising performance, leads, conversion rates, revenue, sales, or profitability.

Business performance depends on many factors beyond website design alone.

13. Search Engines & Advertising

SEO, Google Ads, social media advertising, or other marketing services do not guarantee specific rankings, leads, sales, or financial results.

Search engines, advertising platforms, and social networks may change their algorithms, policies, costs, and systems at any time.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Northbound Commerce will not be liable for indirect, incidental, consequential, special, or similar damages arising from the use of our website or services.

Northbound Commerce is not responsible for losses caused by third-party platforms, hosting interruptions, account suspensions, cyberattacks, unauthorized account access, client modifications, or circumstances outside our reasonable control.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

15. Client Accounts & Credentials

Clients may need to provide Northbound Commerce with access to accounts necessary to complete contracted services.

Clients remain responsible for maintaining ownership and security of their accounts. Passwords and access permissions should be changed or removed when access is no longer required.

16. Prohibited Use

Clients may not use Northbound Commerce services to knowingly create, operate, or promote websites that violate applicable law, infringe intellectual-property rights, distribute malicious software, engage in fraud, or otherwise involve unlawful activities.

Northbound Commerce reserves the right to decline or discontinue work that reasonably appears to violate applicable law or these Terms.

17. Termination of Services

Northbound Commerce may suspend or terminate a project for nonpayment, abusive or threatening conduct, unlawful activity, repeated failure to provide necessary project materials, or material violation of an applicable service agreement.

Any outstanding amounts for completed work may remain due following termination.

18. Changes to These Terms

Northbound Commerce may update these Terms of Service periodically. The updated version will be posted on our website with a revised "Last Updated" date.

19. Governing Law

These Terms will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
